The COVID Clause: Adding A Term To Surrogacy Contracts

Before intended parents can expand their family through surrogacy, they have to enter into a contractual agreement with a gestational carrier, or surrogate, who physically carries the baby. The surrogacy contract spells out the specific terms of the arrangement, like the amount of compensation, who covers certain expenses, what to do in unforeseen circumstances, and even minutiae like whether the surrogate is allowed to drink coffee or travel to certain places. (Now is probably a bad time to visit New York.)

As you can guess, COVID-19 is causing lawyers to change some of the standard contractual provisions in these arrangements. COVID-19 has taken hundreds of thousands of lives and derailed the world as we know it. Even basic fertility treatments and surrogacy were put on hold for a while, as we sheltered in place and socially distanced ourselves. And, while we know this is far from over (unless maybe you are New Zealand), fertility clinics have started to resume, or are preparing to resume, treatments. I’m cautiously optimistic that this is good news for intended parents and surrogates alike.

Of course, surrogacy contracts, like most contracts, often contain provisions about how to handle worst-case situations. What if the surrogate is placed on life support during the pregnancy? What if the intended parents both die during the process? And, less extreme, what if the surrogate eats deli meat that has not been heated above 165 degrees?

The pandemic has brought to light new issues, and some old ones, that have become more prevalent. Now, certain “worst-case scenarios” or “unlikely situations” have become much more likely, and some new situations have arisen that we never imagined. Here are a few areas to consider when thinking about contract overhauls and updates in light of the new reality, however long this may last.

Medical Unknowns. While some reports have been hopeful indicating that the novel coronavirus is unlikely to be transmitted vertically in pregnancy (so if surrogate has it, baby is not likely to get it during the pregnancy), other, scarier reports indicate that vertical transmission could be a concern. And while some experts have reported that pregnant women may face no higher risk than nonpregnant pople when it comes to the effects of the virus, others indicate that there may be greater risk for a pregnant woman. The data is sparse, unsurprisingly, and there is much we do not know yet.

For purposes of the contract, intended parents and surrogates entering into a surrogacy arrangement need to fully acknowledge that there are a lot more unknowns than usual, and major ones at that. Are there long-term effects of contracting COVID-19 while pregnant? To the surrogate or to the child? Contracts need to contemplate the new assumptions of risk of the parties, and to think carefully about risk allocation.

Travel and Restricted Activity. Most surrogacy contracts already contemplate that the surrogate will give up some rights to travel. Intended parents do not want a surrogate heading into an unfriendly jurisdiction where parental recognition could be a problem, or where out-of-network medical costs could skyrocket. Of course, unrelated to surrogacy, most of us are currently experiencing severe travel restrictions under local or state lock-downs and international travel bans. Breaching those restrictions, with a few exceptions, so far has had little consequences or penalties.

A surrogacy contract may need to consider these consequences in more depth. Intended parents will want their growing child protected as much as possible. And that likely means a surrogate following shelter-in-place and social distancing orders and recommendations. If a surrogate is bound to those in the contract, acting otherwise (like heading to a crowded beach during a shelter-in-place order) may mean a breach of contract, with possible damages.

Back-Up Plans for Care of Child. While it is standard procedure to name a back-up guardian should something happen to the intended parents during the pregnancy, those back-up plans, and the back-up plans to the back-up plans, have become increasingly crucial. Prior to the pandemic, there was the occasional intended parent who didn’t make the birth, such as when a kiddo made an earlier-than-expected appearance in the world. Now, despite intended parents’ best intentions and best efforts to be at the birth and to be there to care for their child, many are stuck thousands of miles away. Travel bans are causing international intended parents to be denied entry or to be unable to book a flight to get them to the birth location. In this recent episode of the podcast I Want To Put A Baby In You, Attorney Robin Pope of Oregon talked of numerous stranded intended parents either unable to make it to their child or unable to return home with their child, including the situation of a Chinese intended parent whose baby was born in February, but who still has been unable to make it to the United States to be joined with his child!

Contracts now need to include much more extensive back-up plans. Who will take care of the baby if the parents are unable to make it? For a few days? What about a few months or longer? What if the back-up carer contracts COVID-19 and becomes unavailable? How will medical and other key decisions be made? How will expenses be handled? While these fears were less likely to materialize in the past, now they must be confronted in literally every contract.

Presence in Delivery Room. The traditional question is: If only one person is allowed in the room with the surrogate for delivery, such as in the case of a C-section, will that person be her spouse/support person or an intended parent? Now, this question is being taken to another level. Many birthing persons are not allowed to have anyone (other than medical personnel) in the room with them. And, of course, if any of the candidates to be present have been exposed to the virus or check certain higher-risk criteria, they may not be allowed in the hospital at all. Time for more back-up plans.

Anticipating Delays. Many contracts contemplate naturally expiring if no transfer or pregnancy occurs within 12 months of the contract’s effective date. Given interruptions in services, the parties may want to reconsider how long they are willing to be committed to this process with each other if significant delays occur.

Hopefully, in less time than feared, COVID-19 clauses will go the way of the old Zika ones. Remember Zika? Scary effects, but oh boy were those simpler times. Some day we may think, “Oh, right. I remember when COVID-19 was a big deal. I wonder if anyone gets that anymore? Good thing the schools and bars are open.” Wishful thinking. Until then, attorneys should take extra steps to prepare clients to be flexible and expect the unexpected.

Without Layoffs Or Salary Cuts, Some Biglaw Firms May Not Survive COVID-19

I don’t see how all 81 of the low-margin, no-comp-cut, firms can survive. Let’s say either the data are wrong, or the revenue outlook is stronger, for a half of these firms. That would mean 40 firms come under partner departure pressure. If departures take hold at, say, just a third of these firms then, in round numbers, ten to fifteen firms will go under.

Hugh A. Simons, formerly a senior partner and executive committee member at The Boston Consulting Group and chief operating officer and policy committee member at Ropes & Gray, arguing that more Biglaw firms need to cut salaries or conduct layoffs, because, as he notes in his well-reasoned essay, “Absent significant movement, and soon, this will not end well.”

Job Hunting In A Terrible Job Market

If you are graduating this May, you have my deepest sympathies. You are graduating at a time when most of the world is economically frozen. Many of you will not get your first-choice jobs. Others will not get jobs at all. To make things worse, your graduation ceremonies are either put on hold or canceled altogether. You and your loved ones cannot celebrate at the fanciest restaurant in town as every restaurant is closed. Your graduation present will probably be a box of extra-soft Charmin and a set of face masks that a family member waited in line since 5 a.m. to get.

I understand. I understand too well actually. I graduated college right before the internet bubble burst. I graduated with excellent grades at a top tax LLM program. I was a finalist at an ABA national tax competition and was published at a top tax journal. So I thought I had a shot at one of the Big 4 accounting firms, a tax court clerkship, or possibly a major law firm. But I graduated in 2007 right when the housing crisis began. I didn’t get one interview. Some of the firms at least had the courtesy to send me a rejection letter on their nice firm letterhead.

So you, like myself, are a victim of bad timing. After graduation, you may end up doing something else after graduation. In the job market, you will be competing for jobs with experienced lawyers who have been laid off. If the effects of the pandemic continue, you may compete for jobs with new graduates and recruiters will wonder why you had an employment gap for so long. While they may claim to understand that you did what you had to do because of the pandemic, I suspect some will think you are hiding something. Or it is easier for them to find their purple squirrel.

The traditional method of job searching is tedious, frustrating, and discouraging in a bad job market. You will apply to many jobs and will get rejected by all of them. This is because, if you can see a job opening, so can many others and you will be competing against them. From the employer’s perspective, they barely know most of the job applicants other than what’s on their resumes. So they are naturally going to look first at where you got your degree and your recent work experience. The reality is that most lawyers don’t know how to properly select a good candidate. Your goal should be to have the lawyers think of you before they resort to the classifieds or to contract lawyers.

Your best bet is to join a local lawyers’ group on social media such as Facebook or LinkedIn. You can find multiple groups that fit your interests. Right now, a lot of lawyers and other professionals have more free time and are spending their time in these virtual groups. Participate in the conversations and try to connect with a few members. Try to have the members get to know you a bit before announcing your interest in a job. Once they know you, they will remember you when they see a possible opening in the future.

Also, now that this pandemic has popularized virtual meetings, it is easier to attend these meetings without leaving home. And many groups are offering them for free. So try to attend as many as possible. Wear business-appropriate attire. And if you are attending in your home, make sure that you don’t show a messy room or inappropriate photos or language in the background.

Second, read up on the areas of law that you are interested in. Hopefully your law school will give alumni free access to the school library’s digital subscriptions. If they don’t, demand it. Isn’t this is what you paid $50,000 per year for? Shouldn’t they take some minimal steps to help you pay your $300,000-plus in student loans? Otherwise, your school’s law library is going to waste.

Lastly, use this opportunity to help people and to make solid connections. You are not the only one hurting. Help them in their time of need. Most will remember what you did for them and will eventually return the favor. They will refer potential clients to you or send you job leads and give strong testimonials. Make friends you can trust. You may end up starting a law firm or a start-up business together.

A bad job market will test your grit, persistence, and creativity. Do what you have to do to survive and to help others along the way. You may not see immediate results but with consistency and time, people will reach out to you with reliable job leads. Just know that if you can make it through this recession, chances are good that you’ll survive the next recession too.

Kirkland & Ellis Ripped In Blistering Benchslap

The most straightforward dispute in the legal recruiting world involves a recruiter jumping from one agency to another and along the way allegedly appropriates trade secrets and non-solicitation agreements. The former employer then — if not resolved amicably — has to file a lawsuit and lay out all the recruiting activity the ex-employee has been doing in breach of these obligations to the former firm. Pretty simple, right?

That’s what Kinney Recruiting thought too.[1] They sued a former employee, who refused to comply with discovery, arguing that he didn’t control the documents of the supposed new firm even though the domain name of the new company was his name and he signs all of their contracts. Given this intransigence, Kinney also subpoenaed Kirkland & Ellis, where the former employee allegedly placed people in breach of the obligations to Kinney. Also pretty simple.

K&E decided to make it difficult.

First, they objected to service. Then, after it was re-served, partner Will Pruitt objected to the subpoena, saying Kinney needed to get everything from the former employee. Kinney offered to narrow the subpoena but explained that they needed these relatively easy to procure documents because the defendant was not complying with discovery. After refusing to cooperate with a narrower request — twice — Kirkland also threatened to seek fees if Kinney filed a motion to compel. After one more, unanswered, plea for cooperation, Kinney filed a motion to compel.

K&E replied by claiming to already be working on the request and asking that the motion be dropped. Kinney, having not been born yesterday, refused to drop the motion until K&E produced the documents. He even offered to drop the motion if K&E would just stipulate that they were trying to comply, but Pruitt refused to even do that and instead responded to the motion to compel.

United States Magistrate Judge Andrew W. Austin — who sits in Austin, which one can only assume is some kind of power-up — was not pleased with Kirkland’s conduct. The line “petty, technical, [and] overly-argumentative” comes up:

The Court could not be more disappointed with the manner in which K&E has handled this subpoena. Pruitt’s petty, technical, overly-argumentative emails are a study in what is wrong with civil discovery in our court system today. The subpoena at issue sought a very small amount of uncontroversial information. None of it was privileged or confidential. MWK had served similar subpoenas on other “BigLaw” firms, all of which produced documents without objection. K&E’s approach, however, was to evade, complain, and refuse. The fact that these actions were taken by a law firm makes it all the more frustrating. If anyone should know better than to act this way one would think it would be a law firm that touts itself as having “lawyers [who] employ innovative pragmatic strategies.” There was not a single thing that K&E did to respond to this subpoena that was “pragmatic.” Despite the countless hours Pruitt spent writing emails, K&E eventually produced the requested documents—but it forced MWK to file a motion to compel before it did so. Pruitt could have saved K&E, as well as MWK, thousands of dollars in attorney time by being cooperative up front. Instead, he chose to fight, forcing all parties, the Court included, to expend resources unnecessarily.

Yikes. This would be a scathing enough rebuke, but Kirkland & Ellis had already decided to ask for more having followed through on Pruitt’s original threat to seek fees for responding to the motion to compel, which Magistrate Austin found particularly galling:

But this is not the end of things. Having chosen the stubborn route, K&E also audaciously requests that the Court award it the attorney’s fees it incurred in picking this fight. Recall that in the first week of February, Kinney offered to accept as sufficient exactly what K&E finally produced two months later. K&E refused, and instead forced Kinney to wait two months, write a dozen more emails, and then file a motion to compel. Kinney even repeated that same offer multiple times before he filed the motion. Yet K&E somehow thinks that it should be awarded attorney’s fees. Apparently it believes obstinance is something worth rewarding. Far from it. If anything, K&E should count itself lucky that MWK did not request fees from K&E, as the Court would have been inclined to grant them. Because MWK did not, the Court will express its disapproval of K&E’s actions only in words and not dollars. Either way, K&E should be embarrassed.

The lesson here is when a party is bending over backward to make compliance as painless as possible, just go ahead and comply. Entities like K&E always worry about the precedent they might set complying third-party subpoenas willy-nilly, but rather than fight it, that’s all the more reason to reach out to a cooperative party and come up with some sort of stipulation to hand over non-privileged and non-confidential documents voluntarily.

It’s pretty simple.

Please Don’t Go To Law School Because Of COVID-19

Anyone who watches the news (or their investment accounts) lately understands how the COVID-19 pandemic is negatively impacting the economy. Unemployment is on the rise, and job prospects seem especially poor for people who will soon graduate from school and those who have recently graduated. Many students may think that going to law school can help them ride out the economic downturn and that job prospects will be better for them when they graduate with their law degrees. In fact, an increased number of people have been reaching out to me recently for advice about whether they should apply to law school. However, individuals should be very cautious about heading to law school because of the negative economic climate.

I enrolled in law school in 2009, which was close to the height of the Great Recession. Job prospects for college graduates were absolutely atrocious, and many of my classmates were underemployed after graduation or worked in jobs that did not require a college degree. I can’t say that the economic climate was a substantial factor in my decision to head to law school (I started studying for the LSAT before the Great Recession), but heading to law school made me less worried about the economy than some of my classmates.

However, heading to law school during the Great Recession was not the best time to be a law student. The increase in applications to law schools made it more difficult to be admitted to top programs, since there were more qualified candidates competing for a limited number of spots. In addition, it was harder to receive generous scholarship offers during this period, since schools gave money to candidates with higher-than-usual admission statistics.

Shortly after the Great Recession reached a nadir, applications to law school dropped off precipitously. Improved job prospects in nonlegal sectors led less people to apply to law school. In addition, news about issues facing recent law school graduates reached the mainstream and gave prospective law students pause. Had my colleagues (and I) waited several years to apply for law school, it is possible that we would have been able to be admitted to better programs with more scholarship offers.

Of course, some people cannot wait to go to law school, and others have their minds set on certain programs and do not need to maximize their chances at getting admitted to various schools with different scholarship offers. However, if you can shelter the COVID-19 storm before applying to law school, you might be accepted to better programs with higher scholarship offers at a future time.

It should also go without saying that you should not go to law school because you want to ride out the economic downturn caused by COVID-19 even though you have little interest in practicing law. It might sound ridiculous that people would attend law school when they don’t think they will actually use a law degree, but this was the situation faced by many of my colleagues during the Great Recession. I had friends and law school classmates who told me how they never wanted to be lawyers. They attended law school to wait out the economic downturn and move their lives forward with some kind of pursuit during a difficult time.

If your parents are footing your law school bill, and you will realize few financial consequences from enrolling in law school, then it might be fine to ride out the economic downturn in law school. I personally know individuals from wealthy families who fit this description, and although none of these folks are practicing law now, they landed on their feet after graduation. However, for all of us who don’t have someone paying for our educational costs, earning a law degree to kill time can be a horrible decision.

Practicing law is sometimes a grueling profession, and people who do not have a passion for the law can burn out quickly. In addition, even though law school admissions officers might try to push how a law degree is a flexible credential, earning a JD has few uses other than practicing law. This is even more accurate when you consider that law school does a poor job of teaching the black letter principles that might be needed in business, compliance, and other fields related to the law.

I am sure numerous readers of this article who are veterans of the Great Recession know people who went to law school even though they didn’t have a passion for the law, and many of these folks are miserable. However, they are shackled by student loans, and many must work legal jobs just to earn enough money to stay current on that debt. You do not want to end up in this position, and prospective law school applicants should learn from the example of individuals a decade ago and not let an economic downturn be the primary reason they head to law school.

All told, it can be comforting to attend law school during an economic downturn, and pursuing a law degree may be easier than confronting the harsh realities of the job market. However, do not let COVID-19 motivate you to think about enrolling in law school. Applicants should only consider a legal education if they have a passion for the law and should not let economic conditions influence their decisions about graduate school.

COVID-19 Could Catalyze The Legal Industry Renaissance

As the COVID-19 pandemic rages on, the focus unsurprisingly has been on the exigent and obvious.  No matter which industry you’re in, this pandemic threatens not only your life but your financial health.  Though much has been written about industries in peril, far less has been written about industries—like law—that are poised to enjoy a Renaissance.

During times of crisis, experts reflexively draw comparisons between seemingly similar events. Legal industry pundits are busily comparing the economic impact of the COVID-19 pandemic and the financial ruin created by the Great Recession of 2008.  Such comparisons are, at best, shaky.  Those pessimistic pundits are conflating both events and forecasting only doom and gloom. We think they’re wrong.

COVID-19 Pandemic Economics vs The Great Recession – A Flawed Comparison

We’ll leave to actual economists a more thorough discussion of the two economic crises, but there are significant differences.

  • First, the Great Recession of 2008 can be traced to sustained periods of unsound economic practices that coalesced into a systemic unraveling of a precarious U.S. economy. The economic turmoil battering the world today is directly tied to an abrupt, discrete cause: COVID-19. Nearly every component of the global economy has morphed from functioning in the ordinary course to a complete lock-down almost overnight.
  • Second, the pain of what we call “Pandemic Economics” is nearly universal. Unlike the 2008 Great Recession, which hit the financial, building and construction materials, and real estate industries disproportionately hard, no industry segment has been left unscathed by today’s crisis—nor has any nation or region been spared.

The 2008 Great Recession and COVID-19 economic crisis bear little in common when it comes to speed, scope, and severity. Against this backdrop, we’re left scratching our heads as to why the legal industry pundits are pulling out the post-2008 playbook and relying on outmoded strategies.

COVID-19 Offers the Legal Industry a “DO OVER”

History has shown that catastrophe also creates opportunity for those savvy enough to innovate. The legal industry, which was tone deaf to market demands after the 2008 crisis and failed to proactively innovate, is getting a rare second chance.  In the face of the COVID-19 crisis, there are things that the legal industry can do not just to survive, but to adapt, evolve, and thrive.

Until the dust settles, most would agree that the near-term demand for legal services will be only in “essential” areas, such as healthcare, employment, bankruptcy, and criminal law. The dust will eventually settle, though. Then there will be an UNPRECEDENTED level of demand for legal services. Unlike the aftermath of the 2008 Great Recession, where the legal industry was unable to drive any aspects of a recovery, the U.S. legal industry can be a critical force in the aftermath of the COVID-19 pandemic. Legal industry professionals will pore over mounds of insurance policies, contracts, and other documents to assess the legal rights of the afflicted, to be followed by years of lawsuits.  These lawsuits will be complex and multi-jurisdictional (or multi-national) and, quite literally, without precedent. Demand will skyrocket, giving the entire legal industry a serendipitous “do-over” to re-imagine new ways to deliver legal services.

Below are a few key takeaways on how to best position legal professionals and their organizations for success as the world re-engages:

  1. Embrace “Surge” Lawyering. The business model around associates (mostly junior associates) has been broken for years. Does it really make sense to hire classes of associates out of law school, train them, pay them outsized fixed salaries, and then mercilessly cut these associates (and their related fixed salary cost) during downturns to avoid cutting into partner profits? This makes little sense from a business perspective and even less from a human development perspective. We don’t offer a magic bullet, but we do encourage out-of-the-box thinking around personnel who could be affected by an economic downturn. Today’s newly minted lawyers understand and embrace the gig economy. Perhaps, it’s time to take a page out of Uber’s playbook and consider “surge” staffing—to use and allocate “flex” legal professionals in a given area based on client demand and to share them across practice groups, moving them from one practice area to another within the firm, maybe back and forth between a firm and its clients, or perhaps even between law firms under a strategic alliance. Creative staffing can reduce fixed costs, provide staffing flexibility, treat junior legal professionals humanely, and allow savings to be passed onto clients.
  1. Promote “Tele-lawyering.” The COVID-19 crisis has demonstrated that working from home is a viable way for many industries to conduct business. Tele-working requires self-discipline, good technology, flexibility, and patience, but it’s kept large segments of our economy afloat. As we emerge from lock-down mode, some form of “tele-lawyering” should continue. A new generation of legal industry leaders could forego unneeded physical office locations, which often come with a tony address, fancy artwork, posh furniture, and a high price-per-square-foot price tag. More “tele-lawyering” means reduced fixed real estate costs, driving savings for cost-conscious clients. In fact, other tele-working measures can become permanent as well, such as increased use of telephonic and video conferencing for court hearings and other in-person meetings requiring travel or downtime. China to Help Build $3 Billion Coal Plant in Zimbabwe – The Zimbabwean

“CGGC will develop the project and assist with the fund raising,” Caleb Dengu, chairman of Rio Energy Ltd said last week. The power plant at Sengwa will be constructed in four phases of about 700 megawatts each, bringing total capacity to 2,800 megawatts.

“We have coal reserves to support a 10,000 megawatt plant at Sengwa,” Dengu said.

A 250 kilometer (155-mile) pipeline will carry water from Lake Kariba to Sengwa. The pipeline, and a 420 kilovolt-ampere power line, will be built by PowerChina, said Dengu. The first phase of the project will cost about $1.2 billion, he added.

The Industrial and Commercial Bank of China has given a formal expression of interest in the project and is negotiating with Sinosure, also known as the China Export and Credit Insurance Corp, to cover country risk insurance costs, Dengu told Bloomberg.

Zimbabwe generates and imports about 1,300 megawatts of electricity, short of its 2,200 megawatt demand. Daily power outages have hampered industrial capacity for almost two decades.

A two-year drought blighted the country’s Kariba thermal power plant by draining the reservoir, while aging equipment at its main Hwange thermal plant causes incessant breakdowns and outages that see many consumers receiving only eight hours of power a day.

RioZim was spun off from Rio Tinto Plc in 2004. London-based Rio initially retained a stake in diamond mines and Sengwa before selling those to RioZim in 2015.
